Please read these terms carefully before using our products or services.

These Terms & Conditions ("Terms") govern your access to and use of the Corbital Technologies LLP website at corbitaltech.dev, the customer panel, the support portal, and all products, downloads, services, and support provided by Corbital Technologies LLP ("Corbital", "we", "us", "our").

By visiting our website, creating an account, or completing a purchase, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our website or purchase our products.

1. Sales Channels

Corbital products are made available through two channels:

Direct sales on corbitaltech.dev — orders are processed, invoiced, licensed, and supported by Corbital Technologies LLP under these Terms, our Refund & Support Policy, and our Privacy Policy.

Envato Market (CodeCanyon) — orders are processed, invoiced, licensed, and refunded by Envato Market. All such transactions are governed exclusively by Envato's License Terms and the Envato Refund Rules. Corbital is not a party to those transactions for the purposes of invoicing, refund, or chargeback handling.

2. Intellectual Property & Trademarks

"Corbital", "Corbital Technologies", "WhatsMark", and all related product names, logos, graphics, source code, UI designs, API structures, documentation, and branding materials are the intellectual property of Corbital Technologies LLP and are protected under applicable Indian and international copyright, trademark, and intellectual property laws (including the Copyright Act, 1957 and the Trade Marks Act, 1999).

Purchase of any product does not transfer ownership of the software, its underlying intellectual property, or any related trademarks. All rights not expressly granted in these Terms are reserved by Corbital Technologies LLP.

3. License Grant

Upon successful purchase of a product from corbitaltech.dev, Corbital grants you a non-exclusive, non-transferable, revocable license to use the product subject to the following terms.

3.1 Scope

    1. Each license permits use on one (1) installation — one domain, subdomain, or server instance.
    2. Installing a single-license product on multiple domains, subdomains, or instances requires purchasing a separate license for each.
    3. This applies to all product types: SaaS platforms, CRM modules, plugins, add-ons, and scripts.

3.2 What You May Do

    1. Install and use the product on your own business project or a project built for a single client.
    2. Modify the source code for your own use or to customise the product for your deployment.
    3. Use the product commercially within the scope of the purchased license.

3.3 What You May Not Do

      • Resell, redistribute, sublicense, share, or make the product available for download by any third party.
      • Repackage the product and publish it on any marketplace, code repository, or file-sharing service.
      • Transfer the license to any other individual, company, or entity, for any reason, whether commercial or non-commercial. License transfers are not permitted under any circumstances.
      • Claim authorship or ownership of the original product, source code, or UI design.
      • Use "Corbital", "WhatsMark", or any related brand names or logos as your own brand identity.
      • Remove, alter, or obscure any copyright, license, or attribution notices embedded in the source code unless explicitly permitted in writing.
      • Use the product to build a competing digital product marketplace, script-reselling platform, or software distribution service.

3.4 License Revocation

Corbital reserves the right to revoke your license immediately and without refund if you breach any of the terms in Section 3 or any other material term of these Terms.

4. User Accounts & Customer Panel

4.1 Account Creation

To purchase from corbitaltech.dev, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4.2 Accurate Information

You agree to provide accurate, current, and complete information at the time of registration and to keep it updated. Providing false information — including a false billing address or GST number — may result in account suspension and cancellation of any pending orders.

4.3 Account Security

Notify us immediately at [email protected]v if you suspect unauthorised access to your account. We are not liable for any loss or damage arising from your failure to protect your credentials.

4.4 Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, initiate unjustified chargebacks, or misuse our products or support services.

5. Payments & GST Invoicing

5.1 Pricing

All prices displayed on corbitaltech.dev are in USD unless otherwise stated. Prices are exclusive of applicable taxes unless displayed otherwise.

5.2 GST (Indian Customers)

Purchases made by customers with an Indian billing address will attract Goods and Services Tax (GST) at the applicable rate under Indian law. GST is charged in addition to the listed product price.

5.3 Invoicing

A GST-compliant tax invoice is automatically generated and emailed to you immediately upon successful payment. You can also download your invoices at any time from the Customer Panel at corbitaltech.dev/customer. If you require a GST invoice with your GSTIN, ensure your billing profile in the customer panel is updated with your GSTIN before completing the purchase.

5.4 Payment Gateway

Payments are processed by our third-party payment gateway(s). We do not store your card or banking details on our servers. By completing a payment, you also agree to the terms of our payment processor.

5.5 Failed or Disputed Payments

If a payment fails after a license key or download has been issued, we reserve the right to revoke access until full payment is confirmed. Initiating a chargeback or payment dispute without first contacting our support team may result in permanent account suspension and revocation of all licenses.

6. Installation Services

Installation services are provided on a best-effort basis and include:

    • Installing and activating the purchased product on a server you own or control.
    • Basic configuration as described in the selected installation package.
    • A brief walkthrough or handover once installation is complete.

Customisation, code modifications, or additional configuration beyond the standard installation scope are billed separately and must be agreed upon in writing.

Installation will commence once you provide all required credentials, server access, and prerequisites. We aim to complete standard installations within 5–10 working days of receiving complete access. Delays caused by late provision of credentials, server downtime, or unresponsive communication on your part will not be treated as a delay on our side.

7. Support Services

Support is provided to legitimate license holders for the duration specified at the time of purchase (6 months from the date of purchase for standard purchases).

Covered:

    • Bug fixes for verified defects in the current, supported version of the product.
    • Configuration guidance for features documented in the official product documentation.
    • Assistance with initial product setup and activation.

Not Covered:

    • Customisation, new features, or changes beyond the original product scope.
    • Third-party integrations, plugins, or API connections not officially supported.
    • Server management, hosting, cPanel/WHM, or domain/DNS administration.
    • Support for product versions that have been modified by you or a third party.
    • Issues caused by your hosting environment, PHP version, or database version being outside stated requirements.

8. Custom Development Projects

8.1 Commencement & Payments

    • Projects commence only upon receipt of the agreed advance payment.
    • Advance percentage, milestone schedule, and deliverables are defined in the written project proposal signed by both parties.
    • All payments must follow the schedule in the signed agreement.

8.2 Intellectual Property During Development

    • Until 100% of all project dues are cleared, all source code, designs, documentation, API integrations, and related materials produced remain the exclusive property of Corbital Technologies LLP.
    • No partial code delivery will be made until the corresponding milestone payment is received in full.
    • The client receives full IP ownership and source code only upon complete payment of all dues.

8.3 Late Payments

If a payment is delayed beyond the agreed due date, Corbital may, at its sole discretion:

    • Suspend all project work immediately without notice.
    • Place the project on indefinite hold.
    • Archive or dispose of all project files 15 days after the due date if payment remains outstanding.
    • Withhold all partial deliverables and work products.

8.4 Resumption After Disposal

If project files are disposed of due to non-payment:

    • The project will be treated as a new engagement and will restart from scratch.
    • The client must pay the full current project rate (or the rate agreed in the original proposal, whichever is higher).
    • All previous payments will be treated as non-refundable consultation and resource allocation fees.

8.5 Scope Changes

    • Project scope is defined in the signed proposal. Any changes must be requested in writing.
    • Scope changes may result in additional charges and timeline revisions.
    • Major scope changes may require a new proposal and agreement before work resumes.

9. WhatsApp, Meta & Third-Party Platform Compliance

Many Corbital products — including WhatsMark SaaS and CRM WhatsApp modules — integrate with the WhatsApp Business Platform operated by Meta Platforms, Inc. By purchasing and using these products, you agree to:

    • Comply with all applicable Meta Platform Policies, WhatsApp Business Policy, and WhatsApp Commerce Policy in your use of the product.
    • Maintain a valid, approved WhatsApp Business Account and Meta Business Manager account.
    • Take full responsibility for the content of messages, campaigns, bots, and automated workflows you configure and send through the product.
    • Not use the product to send unsolicited messages (spam), conduct phishing, harass individuals, or engage in any activity that violates Meta's policies or applicable law.
    • Acknowledge that Corbital has no control over Meta's platform decisions, including WhatsApp number bans, API deprecations, policy changes, rate limit reductions, or pricing updates. Such events do not constitute a product defect and are not grounds for a refund or support claim.
    • Indemnify and hold Corbital harmless from any claim, penalty, or loss arising from your misuse of WhatsApp or Meta's platform through our products.

10. Acceptable Use

You agree not to use Corbital products, the website, the customer panel, or the support portal to:

    • Violate any applicable local, national, or international law or regulation.
    • Send unsolicited bulk messages, spam, or conduct abusive automation.
    • Infringe the intellectual property, privacy, or other rights of any person or organisation.
    • Attempt to gain unauthorised access to our systems, servers, databases, or other users' accounts.
    • Reverse-engineer, decompile, or disassemble any Corbital product except to the extent expressly permitted by law.
    • Introduce malicious code, viruses, or any harmful component into our systems or products.
    • Use our products in a manner that could damage the reputation of Corbital or any third party.

Violation of this section may result in immediate account termination, license revocation, and legal action.

11. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Corbital products and services are provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

    • Products will be error-free or uninterrupted.
    • Products will be compatible with all third-party software, hosting environments, or future versions of third-party platforms (including WhatsApp Cloud API, Perfex CRM, Rise CRM, or Concord CRM).
    • Any defects will be corrected within a specific timeframe.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Corbital Technologies LLP shall not be liable for any:

    • Indirect, incidental, special, punitive, or consequential damages, including loss of profits, revenue, data, business opportunity, or goodwill.
    • Damages arising from Meta/WhatsApp platform changes, API deprecations, or account bans on your Meta Business Manager.
    • Loss resulting from your failure to maintain server backups or configurations.

Our total aggregate liability for any claim arising from or related to these Terms, a product, or a service shall not exceed the amount actually paid by you for the specific product or service giving rise to the claim, in the 12 months preceding the claim.

Nothing in these Terms limits our liability for fraud, death, personal injury caused by our negligence, or any liability that cannot be excluded under applicable Indian law.

13. Refund Policy

Refunds for direct purchases, installation services, and custom development projects are governed by our Refund & Support Policy. Refunds for CodeCanyon purchases are handled exclusively by Envato under their marketplace terms. Please review the full Refund Policy before purchasing.

14. Privacy

Our collection and use of your personal data is governed by our Privacy Policy. By using our website and services, you consent to data processing as described therein, in accordance with the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000.

15. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of India. Any dispute, claim, or controversy arising out of or relating to these Terms, a product, or a service shall be subject to the exclusive jurisdiction of the competent courts located in Rajkot, Gujarat, India.

16. Modifications to These Terms

We reserve the right to update or revise these Terms at any time. When we do, the "Last updated" date at the top of this page will be revised. The version of these Terms in effect on the date of your purchase governs that transaction. Continued use of our website or services after a revision constitutes your acceptance of the updated Terms. We recommend reviewing this page periodically.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. The invalid provision will be replaced by a valid one that most closely reflects the original intent.

18. Entire Agreement

These Terms, together with our Refund & Support Policy, Privacy Policy, and Cookie Policy, constitute the entire agreement between you and Corbital Technologies LLP regarding your use of our website, products, and services, and supersede all prior agreements, representations, or understandings.
